ARTICLE I
This
organization shall be known as the Tennessee Chapter of the Registry of
Interpreters for the Deaf. Sub-chapters will be known as [Name of City
or Locality] Sub-Chapter of the Tennessee Chapter of the Registry of
Interpreters for the Deaf, Inc.

ARTICLE II
The objectives of this organization are:
1.
To provide for the effective use of interpreters and transliterators
for the mutual benefit of deaf and hearing individuals.
2. To prepare, maintain, and distribute a registry of RID recognized certified interpreters for the deaf in
3. To recruit and encourage potential interpreters for the D/deaf and hard of hearing.
4. To encourage professionalism and ethical standards for interpreters.
5. To conduct workshops for the purpose of exchanging ideas, opinions, knowledge and current research concerning the interpreting field and D/deaf and hard of hearing communities.
6. To work in close cooperation with the Registry of Interpreters for the Deaf, Inc., and other organizations operating to promote improvement of the quality of interpreting services that serve people who are D/deaf and hard of hearing in various circumstances.
7. To promote awareness among people who are D/deaf and the general public of the need for, availability of, and the nature of interpreting services.Return to top of Page
ARTICLE III
This
organization shall be composed of individuals interested in supporting
and promoting its stated objectives. Membership in the Tennessee Chapter
of the Registry of Interpreters for the Deaf, Inc., is conferred by
attainment of membership in a sub-chapter. In accordance to RID Motion
C.89.11, "to be a voting member of an affiliate chapter, a person must
also be a member of RID, Inc., effective July 1, 1991."
ARTICLE IV - OPERATION OF THE TRID
EXECUTIVE BOARD (Board Composition)
The
Executive Board shall be the governing body of the TRID. The elected
officers of the TRID shall comprise the Executive Board. The President
and Vice-President of TRID must be certified members of RID. The officers of the TRID shall be President, Vice-President, Secretary, Treasurer, and the President or designee from each Sub-chapter. Terms of Office:

The President, Vice-President, Secretary, and Treasurer are elected by
the membership for a term of two years by a majority vote at the annual
meeting of the membership held in odd-number years.
2. The President shall appoint a Nominating Committee at least 30 days prior to the annual meeting who will present a slate of officers at the annual meeting held in odd-numbered years. Nominations may also be made from the floor.
3. Executive officers shall serve for a two-year period, such period to begin with the date of their election at the annual meeting. They shall take office immediately at the close of the meeting at which they are elected.
4. An RID CMP Administrator, TRID standing committee chairs, and the immediate past President shall also serve on the Executive Board.
5. At no time shall more than 4 members of the Executive Board be from the same subchapter of TRID.
DUTIES OF OFFICERS
President: The President shall in general administer the business and affairs of the TRID and shall preside over all meetings, including those of the Executive Board. With the approval of the Board, the President shall establish committees deemed necessary and assign specific duties to members of the Executive Board. The President shall be the official liaison to RID, Inc. The President has voting privileges on the TRID board. Vice-President: The Vice-President shall attend all board meetings and in the absence of the president assume the duties of the President. S/he will serve as Chair of the By-Laws Committee. In the event the president is unable to fulfill his/her duties as president, or upon the resignation, death, or permanent incapacity of the President, the Vice-President shall assume the position of President for the duration of his/her term. The Vice-president has voting privileges on the TRID board.
Secretary: The
Secretary shall attend all board meetings and keep the minutes of all
meetings, preserve all records, reports, and official documents of the
TRID, prepare and send required notices of meetings, maintain a dated
registry of RID certified interpreters in
Treasurer: The Treasurer shall attend all board meetings and be responsible for the collection, safekeeping, and expenditure of all funds and maintenance of accurate records thereof. Dues will be collected from sub-chapters quarterly. All disbursements exceeding shall be authorized by the Executive Board. The treasurer has voting privileges on the TRID board.
Vacancies: Any office other than the President which shall become vacant shall be filled by appointment of the Executive Board. The officer(s) thus appointed shall immediately assume office and serve until the next regular election.
Dues: The amount of the annual dues for fiscal year January 1 to December 31 shall be established at the annual meeting. No dues shall be payable to TRID by individual members. The Treasurers of Sub-Chapter shall remit to the TRID Treasurer the appropriate sum each year for each Sub-Chapter member. Such remittance shall be made payable to the TRID Treasurer January 1 of each year.
Article V
ANNUAL General Membership MEETINGS
1.
The TRID shall meet annually at a place determined by the majority of
the membership in attendance at the first organizational meeting or at
annual meetings thereafter. The date shall be determined by the host
Sub-Chapter.
2. TRID members may conduct general membership and business meetings at the biennial national and regional conventions, should a quorum be present.
3. A special meeting of the TRID may be called only by the majority vote of the Executive Board or by petition signed by one fourth of the membership.
4. Notice of the annual meeting shall be sent in writing to all members at least ninety (90) days in advance of the meeting date. Notice of special meetings shall be sent in writing to all members at least thirty (30) days in advance of the meeting date.
5. The Executive Board will meet at least twice each year. One meeting will be held in conjunction with the annual General Membership Meeting and at least once at a time approximately midway between General Membership Meetings.
QUORUM
Twenty percent (20%) of the membership eligible to vote shall constitute a quorum for the purpose of holding the regular annual meeting or a special meeting of the TRID.
PROXIES
Proxies
may be assigned and carried by voting members only. They must be in
written form and postmarked to the TRID Secretary thirty (30) days prior
to the date of the membership meeting. Members attending said meetings
but having to leave early may assign only their proxy to another voting
member without previous proxy registration. Proxies in excess of three
percent (3%) of the voting membership will be reassigned to other voting
members. No other proxies will be reassigned.
ARTICLE VI - OPERATION OF SUB-CHAPTERS OF TRID
EXECUTIVE BOARD
The
Executive Board shall be the governing body of Sub-Chapters of TRID.
The elected officers of Sub-Chapters shall comprise the Executive Board.
OFFICERS
1. The officers of Sub-Chapters shall be President, Vice-President, Secretary, Treasurer.
2. They shall be elected by and from the current membership. The
President shall appoint a Nominating Committee who will present a slate
of officers at the last business meeting of the calendar year in
even-numbered years. Nominations may also be made from the floor.
3. They shall be elected in the last business meeting of the calendar
year in even-numbered years. They shall take office at the first
business meeting of the following odd-numbered year. They shall serve
for two years.

absence or incapacity of the President, and shall become the President
upon the resignation, death, or permanent incapacity of the President.
Secretary:
The Secretary shall keep the minutes of all meetings, preserve all
records and official documents of the Sub-Chapter, prepare and send
required notices of meetings, maintain a local registry of certified
interpreters and a roster of Sub-Chapter members, and handle
correspondence. The Secretary shall submit a current list of members and
officers and their addresses to the TRID Secretary as additions/changes
apply.
Treasurer: The Treasurer shall be responsible for the
collection, safe-keeping, and expenditure of all funds and maintenance
of accurate record thereof.
VACANCIES
Any
office other than President which shall become vacant shall be filled
by election in the next regular or special meeting. The officer(s) thus
elected shall immediately assume office and serve until the next regular
election.
DUES
The

ASSESSMENTS
Assessments
may be levied on all members by the Executive Board. Such assessment
may not exceed ten dollars during a calendar year.
MEETINGS
1. Regular meetings of the Sub-Chapters shall be held no less than
once every three (3) months, but may be held more frequently if so
determined by majority vote of the membership. Time and place shall be
determined by majority vote of the membership. Special meetings may be
called by the President, by majority vote of the Executive Board, or by
petition signed by majority of the membership.
2. Notice of meetings shall be determined by the membership.
QUORUM
A quorum will be described by each Sub-Chapter for the purpose of holding a regular or special meeting.
COMMITTEES
Each Sub-Chapter shall have the following Standing Committees:
Recruitment:
The objectives of this committee shall be to disseminate information on
interpretation and bring into the organization (a) those individuals
qualified to interpret, (b) those interested in training to be
interpreters, and (c) those interested in advancing the objectives of
the organization.
Program: The objectives of this committee shall be to develop programs that will promote professionalism among the membership.

ARTICLE VII
These
By-Laws may be altered, amended, or repealed by majority vote of
members present at any regular or special meeting of the TRID called by
due notification to all members.

ARTICLE VIII
This Association is not organized nor to be operated for pecuniary
gains, profits, or dividends to its members, and is organized solely for
non-profit purposes.
The property, assets, net income, and
profits of this Association are irrevocably dedicated to the TRID
educational purposes, and no part of the profit or net income shall ever
inure to the benefit of any officer or member.
In the event of
dissolution of this Association by vote of three fourths (3/4) of the
active membership, all remaining assets, real and personal, shall be
transferred to the Registry of Interpreters for the Deaf, Inc.

ARTICLE IX
Roberts Rules of Order, Revised, shall be the parliamentary authority for conduct of all meetings of this organization unless otherwise specified herein.
